Agreement to Terms

Welcome to Grafite. These Terms of Service ("Terms") govern your access to and use of the Grafite application, website, optional desktop helper application, and related services (collectively, the "Service") provided by Grafite Labs LLC ("Grafite," "we," "us," or "our"), a New Jersey limited liability company.

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

Description of Service

Grafite is an AI-powered meeting notes and personal knowledge base application that helps you:

  • Record audio from your meetings using your device's microphone and/or system audio (via the browser or optional desktop helper app)
  • Automatically transcribe recorded audio using AI
  • Generate AI-powered summaries, meeting notes, and action items
  • Organize and search your meeting content, notes, and contacts
  • Sync with your Google Calendar or Microsoft Outlook
  • Track tasks, action items, and follow-ups from meetings
  • Build a personal contacts directory from meeting data
  • Ask plain-language questions about your data using conversational AI (Ask Grafi)
  • Share scheduling and booking links
  • Create and distribute forms for collecting feedback and responses

Account Registration

To use Grafite, you must:

  • Be at least 16 years of age
  • Create an account using Google or Microsoft OAuth
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account. You may not share your account with others or create multiple accounts.

Recording Consent & Compliance

IMPORTANT: When using Grafite's recording features, YOU are responsible for:

  • Obtaining consent from all participants before recording any meeting or conversation
  • Complying with all applicable laws regarding recording, including federal and state wiretapping laws, and international recording regulations
  • Understanding that some jurisdictions require all-party consent (meaning everyone being recorded must agree)
  • Informing participants that their audio may be transcribed and summarized by AI
  • Ensuring you have authority to record in your workplace or organization, including compliance with any internal recording policies

Grafite provides the technology; you are solely responsible for using it legally and ethically. We strongly recommend announcing that you are recording at the start of any meeting. Recording consent requirements vary by jurisdiction — consult applicable local laws to understand your obligations.

By using our recording features, you represent and warrant that you have obtained all necessary consents and are complying with all applicable laws, including but not limited to laws governing the monitoring or recording of conversations.

Acceptable Use

You agree NOT to:

  • Record conversations without proper consent as required by applicable law
  • Use the Service for any illegal purpose or in violation of any applicable law
  • Upload content that is harmful, threatening, abusive, defamatory, or harassing
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to develop competing products
  • Resell or redistribute the Service without authorization
  • Violate the intellectual property rights of others
  • Use automated systems (bots, scrapers, crawlers) to access the Service except as permitted
  • Circumvent any rate limits, access controls, or security measures
  • Use the Service to store or transmit malware or malicious code

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination.

Your Content

Ownership: You retain all rights to the content you upload, record, or create using Grafite, including your recordings, transcripts, notes, forms, and any other materials ("Your Content").

License to Us: By using our Service, you grant us a limited, non-exclusive, worldwide license to store, process, and transmit Your Content solely for the purpose of providing the Service to you. This includes sending audio to AI providers for transcription and sending transcripts to AI providers for summarization, under enterprise agreements that prohibit those providers from using your data for their own purposes.

Responsibility: You are solely responsible for Your Content and ensuring you have the right to upload, record, and process it through the Service. You represent and warrant that Your Content does not violate any third-party rights, including intellectual property rights and rights of privacy.

Deletion: You may delete Your Content at any time. When you delete content, it is permanently removed from our systems. If you delete your account, all Your Content is permanently removed within 30 days.

AI-Powered Features

Grafite uses third-party AI services to provide its core features:

  • Groq (Whisper): For audio transcription
  • Google Gemini: For AI summarization, action item extraction, and conversational AI (Ask Grafi)

Enterprise Agreements: We have enterprise-grade agreements with our AI providers that prohibit them from using your data to train their models. Your content is processed solely to provide you with the requested output (transcriptions, summaries, answers) and is not retained by these providers.

AI Limitations: AI-generated content — including transcriptions, summaries, action items, and conversational answers — may contain errors, inaccuracies, omissions, or misinterpretations. You should review all AI-generated content before relying on it for any important purpose. AI output does not constitute professional advice of any kind (legal, medical, financial, or otherwise).

AI Availability: We may change AI providers, models, or processing methods at any time to improve quality or reduce costs. We will update our Privacy Policy to reflect any material changes in how your data is processed.

Intellectual Property

The Service, including its design, features, code, documentation, and content (excluding Your Content), is owned by Grafite and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our Service without explicit written permission.

"Grafite" and our logo are trademarks. You may not use them without our prior written consent.

Feedback: If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

Payment Terms

Grafite is currently in open beta and is provided free of charge with all features included. Fair-use limits apply to prevent abuse.

When paid plans are introduced:

  • Prices will be clearly displayed before purchase
  • You authorize us to charge your selected payment method for the agreed fees
  • Subscriptions will automatically renew unless canceled before the renewal date
  • Refunds will be handled according to our refund policy, which will be published alongside paid plans
  • We may change prices with 30 days' prior notice; price changes will take effect at the start of your next billing period
  • Early adopters during the beta period will receive a lifetime discount on future paid plans

Beta & Experimental Features

During the open beta and from time to time, we may offer features labeled as "Beta," "Preview," "Experimental," or similar designations. These features:

  • Are provided "as is" without warranty and may not be as reliable as generally available features
  • May be modified, suspended, or discontinued at any time without notice
  • May have reduced or different service level expectations
  • Should not be relied upon for critical or production use cases without your own due diligence

Your use of beta features provides us with valuable feedback. We appreciate your understanding that these features are works in progress.

Desktop Helper Application

Grafite offers an optional desktop helper application that captures system audio on your device to enable recording of meeting audio output. By downloading and installing the helper application:

  • You acknowledge that the helper app requires system-level audio permissions on your device
  • You agree to keep the helper app updated to the latest version for security and compatibility
  • You understand that uninstalling the helper app will disable system audio capture but will not affect your account or stored data

The desktop helper is governed by these same Terms. All recording consent obligations apply equally whether recording through the browser or the helper app.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times
  • AI-generated transcriptions, summaries, or answers will be accurate or complete
  • The Service will meet your specific requirements
  • Defects will be corrected within any particular timeframe
  • Your data will never be lost — please keep your own backups for critical information

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAFITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising from your use of the Service is limited to the greater of: (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Grafite and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including recording consent requirements, privacy rights, and intellectual property rights
  • Your Content
  • Any misuse of the recording features, including failure to obtain required consent

Termination

By You: You may stop using the Service and delete your account at any time through the Settings page. Upon account deletion, all Your Content will be permanently removed within 30 days.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, illegal activity, abusive behavior, or extended periods of inactivity. We will endeavor to provide reasonable notice where practicable.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request a copy of your data before deletion by contacting support@grafite.io. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Electronic Communications

By creating an account, you consent to receive electronic communications from us regarding the Service, including service announcements, administrative messages, policy updates, and security alerts. These communications are part of your relationship with us and you may not opt out of them while maintaining an account. You may opt out of non-essential marketing communications at any time.

You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Copyright Infringement

If you believe that content on our Service infringes your copyright, please send a notice to legal@grafite.io with the following information:

  • A description of the copyrighted work you claim has been infringed
  • A description of where the infringing material is located on the Service
  • Your contact information (name, address, phone number, email)
  • A statement that you have a good-faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
  • Your physical or electronic signature

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Updating the "Effective Date" and version number at the top of this page
  • Displaying an in-app consent prompt requiring re-acceptance for material changes
  • Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service.

Force Majeure

Grafite shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or telecommunications failures, power outages, cyberattacks, third-party service provider outages, or other force majeure events.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court if eligible.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grafite Labs LLC regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely, including in connection with a merger, acquisition, or sale of assets.
  • Notices: We may provide notices via email to the address associated with your account or through the Service. Notices from you to us should be sent to legal@grafite.io.
  • No Third-Party Beneficiaries: These Terms do not confer any rights on any third party.
  • Headings: Section headings are for convenience only and have no legal effect.
